Terms of Service

These Terms of Service ("Terms") govern your use of TierBid (the "Service"), a public board where companies pay to hold a seat in a pricing tier. By creating an account, listing a company, or placing a bid, you agree to these Terms. If you are using the Service on behalf of a company, you confirm you are authorised to bind that company.
1. What TierBid is
TierBid is a paid tier-placement marketplace. The board has a fixed number of seats in each tier (S, A, B, C, D). A company enters a tier by paying at least that tier's current entry price. When a tier is full, a new entrant must outbid the lowest standing bid in that tier; the outbid company is moved down to the next tier, which can cascade further down the board.
TierBid is not an endorsement. A company's position reflects only what it has paid relative to others. It says nothing about the quality, safety, legitimacy or performance of that company or its products. We do not vet, verify or recommend listed companies.
2. Accounts
- You must sign in with a Google account. You are responsible for everything that happens under your account.
- You must be at least 18 years old, or the age of majority where you live, to use the Service.
- One person may manage several companies from one account. Each company may hold only one position on the board at a time.
- We may suspend or terminate accounts that breach these Terms, abuse the Service, or list content described in Section 6.
3. Bids, positions and pricing
- All amounts are in US dollars. The price shown at the moment you confirm a bid is the price you pay.
- A bid buys a position, not a duration. Your company holds its spot until it is outbid, withdrawn, or removed under these Terms. There is no fixed term and no guaranteed minimum time on the board.
- You can be outbid at any time. If a competitor pays more than your standing bid in a full tier, your company is moved down a tier. If there is no room below D-tier, it leaves the board and is marked as waiting to re-enter.
- Moving up charges only the difference between your standing bid and the new amount. Defending (raising your bid within the same tier) works the same way.
- Entry prices change. Each successful bid ratchets that tier's floor price upward. Prices are shown live and may differ from what you saw earlier.
- Bids are placed by you, deliberately, through the bid dialog. We do not bid on your behalf.
4. Payments and refunds
- Payments are processed by our third-party payment provider. We do not store full card details.
- All payments are final and non-refundable. In particular, you are not entitled to a refund if your company is outbid, moved down, pushed off the board, withdrawn by you, or removed for breach of these Terms. Your payment bought the position you held at the time, for as long as you held it.
- If you believe you were charged in error (for example, a duplicate charge for a single confirmed bid), tell us through the Feedback button within 14 days and we will investigate in good faith.
- You are responsible for any taxes that apply to your payments.
5. Your content
You keep ownership of the company names, descriptions, logos, links and other material you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute Your Content on the Service and in promotion of the Service (for example, a screenshot of the board), for as long as it is on the Service.
You are solely responsible for Your Content and you confirm that:
- you have the right to use the name, logo and other material you upload;
- the website you link to is yours or you are authorised to promote it;
- nothing you submit is false, misleading or infringes anyone else's rights.
We may fetch a site's public favicon to display as a logo when you have not uploaded one.
6. Prohibited use
You must not:
- list a company you do not own or represent, or impersonate any person or business;
- link to sites containing malware, phishing, scams, illegal goods or services, sexual content involving minors, or content that is unlawful where the Service is offered;
- upload content that is defamatory, hateful, harassing, or that infringes intellectual property or privacy rights;
- use bots, scripts or automation to place bids, inflate view or click counts, or otherwise manipulate the board;
- probe, scrape, reverse engineer or interfere with the Service or its infrastructure;
- attempt to circumvent payment or use the Service to launder money or process fraudulent payments.
We may remove any listing, refuse any bid, or move or remove a position at our discretion where we reasonably believe there has been a breach. No refund is owed in that case.
7. Public information
The board is public. Your company's name, logo, website, description, tier, rank, standing bid amount, time on the board, impression and click counts, and its history of moves (entered, moved up, pushed down, defended, removed) are visible to anyone. Do not list a company if you do not want this information to be public.
8. Availability and changes
We provide the Service "as is" and "as available". We may change the board's rules, tier sizes, pricing formula, features or these Terms at any time. Material changes to these Terms will be announced on the Service; continued use after the change means you accept it. We may suspend, restrict or shut down the Service at any time. If the Service is discontinued, no refunds are owed for positions held at that time.
9. Disclaimers
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not promise any level of traffic, visibility, clicks, leads, sales or other outcome from a position on the board. Impression and click figures are counted by our systems as a convenience and are not audited.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability to you for any claim relating to the Service is limited to the amount you paid us in the 3 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
11. Indemnity
You will indemnify and hold us harmless from any claim, loss or expense (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.
12. Termination
You can delete your account at any time from Settings. Doing so removes your companies from the board and deletes your account data as described in the Privacy Policy. No refund is owed for positions held at the time of deletion. Sections 4, 5 (as to content already displayed), 9, 10, 11 and 13 survive termination.
13. General
- These Terms are the entire agreement between you and us about the Service.
- If any part of these Terms is unenforceable, the rest remains in effect.
- You may not assign these Terms; we may assign them to a successor of the Service.
